These Subscription Terms of Use (“Subscription Terms”) are a legal contract between you (“You/Your”) and (depending on Your location at the time You receive services) Antidote A.I. Health of Florida, P.A., Antidote A.I. Health of California P.C., Antidote A.I. Health of Kansas P.A., or Antidote A.I. Health of New Jersey, P.C. (“We,” “Us,” or “Antidote Health Clinicians” or “Antidote Health Physicians”). Upon Your payment of the fees (the “Fees”) described on the Antidote Health website and app (the “Platform”) for a bundled package of direct clinical and healthcare services from Antidote Health Clinicians (referred to as an Individual Subscription, Individual Subscription+, Family Subscription, or Family Subscription+) (each a “Subscription”), You agree to be bound by these Subscription Terms. A Subscription cannot be purchased by anyone lacking the legal capacity to enter into these terms and conditions. You should read these Subscription Terms carefully.
These Subscription Terms complement the Antidote Health Platform Terms and Conditions (“Platform Terms of Use”) and Privacy Policy that apply to use of the Platform.
Not an Insurance Product
Antidote Health Clinicians are not insurers and the Subscription is not an insurance product. The amounts You pay to Antidote Health Clinicians for the Subscription are not insurance premiums. If You desire any type of health or other insurance, You will need to purchase such insurance separately. The Subscription is NOT a health insurance plan, a Medicare Insurance Supplement, a health discount plan, or a prescription discount plan. We do not meet any individual health insurance mandate that may be required by federal law. The fees for the Subscription shall only cover the rendering of medical care by Antidote Health Clinicians and reimbursement for certain out of pocket prescription drug costs (the “Services”), and shall not cover the cost of any diagnostic or other laboratory tests, medical devices, specialty medical care rendered by any third party, or any other referral made by Antidote Health Clinicians to another third party.
Use of Subscription:
Your Subscription is non-assignable, non-transferable, and cannot be resold.
Subscription Term:
Your Subscription is effective immediately upon Your Subscription payment and enrollment in the Subscription and shall continue on a month-to-month basis. Your Subscription Term will start the day You submit Your initial Subscription payment and will continue for a period of twelve (12) months (each month a “Subscription Month,” together the “Subscription Year”).
Platform:
Antidote Health Clinicians use the Platform to connect with and provide clinical services to patients. The Platform does not provide medical care to its users. Nothing in these Subscription Terms should be construed to indicate that the Platform is a healthcare provider or that the Platform provides medical services or medical advice.
Emergencies:
Services are NOT for use for medical emergencies or urgent situations. If You believe there is an emergency or that someone needs immediate medical assistance, please call 911 and seek immediate medical help.
Footprint:
We operate subject to state regulations, and Services may not be available in Your state. Currently, You can access Services when You are located in AZ, CO, DC, FL, GA, IL, MA, MD, MI, MO, NC, NJ, NY, OH, PA, TX, UT, VA, WA, and WI
Refusal of Services:
We may, in our sole discretion, refuse to provide Services to You based on any non-compliance with these Subscription Terms or the Platform Terms of Use. In addition, We may ask You to provide different types of proof of identity documents and contact You by telephone, mail, or email to verify certain information, confirm certain actions, and generally take measures to prevent fraud.
Subscribers with Government Coverage:
By using the Services, You acknowledge and agree that (i) You are not enrolled in any Medicare or Medicaid program or plan; (ii) You will pay directly for any medical services and products provided to You; and (iii) Antidote Health Clinicians will not bill any other third party, including a federal or state health care program, for such medical services or products.
Subscription Benefits:
You are entitled to access Services in accordance with Your Subscription, subject to the fees. Fees are subject to change at any time according to the sole discretion of Antidote Health Clinicians. Services included in each Subscription are listed on the Platform and the Antidote Health Clinicians website, and are subject to change at any time according to the sole discretion of Antidote Health Clinicians. Your Subscription does not cover (i) any ancillary services; (ii) any services provided by third parties; (iii) hospital services, emergency room visits, or urgent care facility visits; (iv) appointments with other providers or specialists referred to You by an Antidote Health Clinician; (v) radiology; (vi) lab tests by outside companies; (vii) durable medical equipment; or (viii) any services not expressly listed as included in Your applicable Subscription (collectively, the “Excluded Services”). You acknowledge that Antidote Health Clinicians are not responsible for any medical bills incurred for any Excluded Services, even if one or more Antidote Health Clinicians have referred You for such services. If an Antidote Health Clinician refers to You a third party provider, You will be responsible for the costs of any services rendered by that third party provider.

Payment of Subscription Fee:
Renewal:
Once You chose your Subscription, Antidote Health Clinicians will charge You for Your first month of Your Subscription. Antidote Health Clinicians will then charge You monthly, in advance and on an ongoing basis, for Your Subscription for the duration of the Subscription Term. Charges will appear on the same day, or in close proximity to that day, each subsequent month.
You authorize Us to charge Your payment source the applicable monthly Fees in accordance with Your chosen Subscription. Fees do not include applicable taxes, which are determined according to Your billing address.
You may also choose to pay annually with a discount as offered from time to time.
Cancellation and Refunds:
If You wish to CANCEL Your Subscription, You may do so at any time. The benefits of the Subscription may be enhanced or modified at any time without prior notice. If You are not completely satisfied, simply email Us at support@antidotehealth.com to cancel Your Subscription. The cancellation will go into effect the Subscription Month following Your cancellation notice, unless We have violated the physician-patient relationship or breached the Subscription Terms. Following cancellation, no further charges will be made to Your payment method, and there will be no further obligations by either party.
If You cancel Your Subscription, You will be able to continue to receive clinical services from Antidote Health Clinicians on a per-visit basis. You can re-enroll in a Subscription after a 6-month waiting period from the last date on which Your Subscription was effective.
Except to the extent that applicable law explicitly requires a longer notice period, We reserve the right to terminate Your Subscription at any time without notification, including in the event that We are unable to bill the Subscription to Your payment source.
During any Subscription Month in which You have not used our Services, You have the right to cancel Your monthly payment (i.e., actual payment, if credited for drugs) within the first seven (7) days of that Subscription Month, and receive a refund for that month's Fees. In the event that applicable law or regulation requires a longer refund period, We will honor such longer period. To request a refund please contact Us via email at support@antidotehealth.com.
- For NY residents: if You are a NY resident, You will be able to cancel Your yearly Subscription at any time as mentioned above, if You received an average of one or fewer Services (either a clinical visit or a prescription drug reimbursement) per Subscription Month. If You received an average of more than one Service (either a clinical visit or a prescription drug reimbursement) per month, You will have the right to cancel Your Subscription only after 6 months from Your first day of Subscription.
My Antidote Spend Card:
If You have purchased a Subscription Plus Plans (Individual Subscription Plus and Family Subscription Plus), You will be issued a My Antidote Spend Card (a STRIPE issued Spend Card) (“Card” or “Spend Card”). This is a prepaid virtual spend card that allows You to purchase certain drugs as part of Your Subscription. This Card can be used for prescription transactions only and is only loaded and available when Our clinician prescribes an approved prescription in accordance with Your Subscription.
You agree to use the Card only for purchases of prescription drugs and no other purposes. Any abuse of the Card will cause Us to cancel the Card, Your benefits, and Your Subscription. Instructions on how to use the Card can be found in the Platform under the Hamburger menu My Antidote Spend Card.
Before using the Card, You must read and agree to the Stripe issued Spend Card Terms of Use. For Your convenience, We have included the Stripe issued Spend Card Terms of Use below. The Stripe issued Spend Card Terms of Use are subject to change at any time, and We recommend You consult the most up-to-date Stripe issued Spend Card Terms of Use.

Entire Agreement:
These Subscription Terms contain all the terms and conditions of Your Subscription and no representations, inducements, promises, or agreements concerning the Subscription not included in these Subscription Terms shall be effective or enforceable, except for the Platform Terms of Use and Privacy Policy. If any of the Subscription Terms shall become invalid or unenforceable, the remaining terms shall remain in full force and effect. We reserve the right to modify the Subscription Terms periodically, for any reason, and without notice.

PRIMARY CARE PACKAGES + Hypertension Services:
Individual Complete Care for Primary Care, Hypertension Care and Diabetes Care Subscription:
Includes:
- 12 telehealth visits with an Antidote Health Clinician for acute and primary care needs during the Subscription Year.
- This includes, if applicable, telehealth visits and care management tools provided through our Hypertension Management Program. Each telehealth visit provided as part of the Hypertension Management Program will count as one of the 12 annual telehealth visits included in the Subscription.
- Additional visits will be charged to You at a 20% discount off of the then-current one-time visit rate.
Family Complete Care for Primary Care, Hypertension Care and Diabetes Care Subscription:
Includes:
- 20 telehealth visits per family with an Antidote Health Clinician for acute and primary care needs during the Subscription Year.
- Any number of immediate family members may participate in the Family Subscription and use one or more of the 20 telehealth visits (including a spouse, domestic partner, child, step-child, parent, or grandparent), provided that they have been registered as family members through the Platform. The visits may be allocated among family members in any manner (i.e., one family member may use all 20 visits in a Subscription Year). Children under the age of 18 may receive services through a separate child-specific mobile app that enables the child to participate on a call with an Antidote Health Clinician, subject to provision of applicable consents and other legal requirements.
- This includes, if applicable, telehealth visits and care management tools provided through our Hypertension Management Program and/or our Diabetes Management Program. Each telehealth visit provided as part of the Hypertension Management Program or Diabetes Management Program will count as one of the 20 annual telehealth visits included in the Subscription.
MENTAL HEALTH PACKAGES:
Mental Health Subscription:
Our Mental Health Services include evaluation and treatment by primary care physicians (including prescribing of appropriate medications) for common mental health conditions, such as anxiety, depression, Post-traumatic Stress Disorder and Obsessive Compulsive Disorder. Antidote Health Physicians cannot treat all conditions or prescribe controlled substances and will provide referrals as needed to other providers if Your condition requires. The Mental Health Care Subscription does not include services by a psychiatrist, psychologist, counselor, or other mental health professional and does not include talk therapy.
If, following Your initial evaluation or at any time during the Subscription Year, Your Antidote Health Physician determines that You do not require ongoing treatment, You may choose to end your Subscription without further payment or switch to a different Subscription.
The Mental Health treatment is provided by the same physician, in the initial and the follow up visits. Due to telemedicine licensing regulation, You commit to schedule all the visits in the same state.
Includes:
- An initial mental health evaluation and treatment plan with an Antidote Health Physician, per Subscription Year.
- Follow up visits every 3 weeks, in accordance with treatment plan defined by Your Antidote Physician, and availability of patient, up to 17 follow up per Subscription Year.
- 6 telehealth visits with an Antidote Health Clinician for acute and primary care needs, Hypertension Care or Diabetes Care, per Subscription Year. Additional acute and primary care, Hypertension Care or Diabetes Care visits will be charged to You at a 20% discount off of the then-current one-time visit rate.
